Our company/commercial department acts for a wide range of clients in the UK and overseas, including commercial companies (large and small), institutions, partnerships, small owner-managed companies and sole traders.

  Business Structures
We advise clients in relation to the forms of business organisation. We deal with the company secretarial aspects of forming new companies. We draft any necessary shareholders agreements or joint venture agreements. We deal with the incorporation of existing businesses or organisations, such as partnerships or unincorporated associations. We deal with partnership formations and dissolutions.

  Running and Managing Businesses
We deal with the legal aspects of running a business including: drafting standard terms of business, drafting and reviewing commercial contracts, drafting and implementing employment documentation, business immigration. We deal with on-going company secretarial matters.


  Banking/Finance
We act for businesses and banks in relation to banking and finance arrangements. In conjunction with our property department, we regularly act for banks or borrowers in relation to secured lending to companies in the UK and off-shore.


  Acquisitions and Disposals
We act for clients when acquiring new businesses, either by corporate mergers or acquisitions, or management buy outs, or by purchase of unincorporated businesses. We advise on harmonisation of employment terms and conditions with those of existing businesses.
In conjunction with our property department, we regularly act on the sale and purchase of shares in 'single purpose vehicles' holding property. We also  act on disposals of companies and businesses.
